Terms of Service and License Agreement

Version 2026-10-27b · Last updated October 27, 2026

Important: EZHTS provides classification and duty-rate information for reference only. It is not legal or customs advice, and EZHTS is not a licensed customs broker. You are responsible for confirming every HTS code and duty rate with the official sources linked in your results (such as the U.S. International Trade Commission's Harmonized Tariff Schedule and U.S. Customs and Border Protection) before you rely on it.

These Terms of Service and License Agreement (the “Agreement”) are a binding contract between you and EZHTS (“EZHTS,” “we,” “us,” or “our”). They govern your use of the EZHTS website, software, classification tools, reports, and related services (together, the “Service”). Please read them carefully, including Section 16 (Arbitration and Class Action Waiver), which affects how disputes are resolved.

1. Acceptance of this Agreement

By creating an account, checking the box to accept this Agreement, or using the Service, you agree to this Agreement. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use the Service.

1A. Company accounts and users you add

When an account is created for a company, the person creating it accepts this Agreement on behalf of that company. EZHTS records the version of this Agreement accepted, the date and time, the email address of the person who accepted, and the IP address used. That acceptance applies to the company and to every user later added to the company's account.

Each time a company administrator adds a user, the administrator confirms that the new user will be bound by this Agreement, and EZHTS records that confirmation in the same way. Every user who logs in to or uses the Service under a company account is also bound by this Agreement. The company is responsible for making this Agreement available to its users and for their compliance with it, and the company is responsible for all use of the Service under its account.

2. Eligibility and business use

The Service is intended for business and professional use. You must be at least 18 years old and able to form a binding contract. You agree to provide accurate account information and keep it up to date.

3. What the Service does

The Service asks questions about a product and, based on your answers, suggests a Harmonized Tariff Schedule of the United States (“HTS”) classification, related duty rates, and any additional duties we are aware of (collectively, “Results”). The Service may also offer suggestions about product changes that could affect classification (“Tariff Engineering Suggestions”).

4. Information only — not legal, customs, or professional advice

Results and Tariff Engineering Suggestions are general information provided for reference only. They are not legal advice, customs advice, a binding ruling, or a determination by any government agency. EZHTS is not a law firm and is not a licensed customs broker, and no attorney-client, broker-client, fiduciary, or other professional relationship is created by your use of the Service. Final classification and duty determinations are made solely by U.S. Customs and Border Protection (“CBP”) and other government authorities. If you need certainty, you should consult a licensed customs broker or trade attorney, or request a binding ruling from CBP.

5. Your responsibility to verify

Classification depends on the accuracy and completeness of the information you provide, on facts the Service does not ask about, and on laws, tariff schedules, trade remedies, and agency interpretations that change frequently, sometimes without notice. You agree that:

  • you are solely responsible for the information you enter and for the accuracy of your answers;
  • you will confirm every HTS code, duty rate, and additional duty (including Section 301, Section 232, reciprocal, antidumping, countervailing, and other duties) using the official links provided with your Results and other authoritative sources before you rely on them;
  • you, and not EZHTS, are responsible for your customs entries, declarations, duty payments, product designs, sourcing, pricing, and business decisions; and
  • as the importer of record or as the party responsible for the import, you remain responsible under applicable law for using reasonable care in classifying merchandise.

6. No responsibility for misclassification or incorrect duty rates

EZHTS does not guarantee that any Result is correct, complete, or current. To the fullest extent permitted by law, EZHTS is not responsible or liable for any misclassification, incorrect or outdated duty rate, omitted duty, or other error in the Service, or for any consequence of relying on it, including underpaid or overpaid duties, fees, interest, penalties, liquidated damages, seizures, delays, refused entries, audits, recalls, redesign costs, lost profits, or claims by customers, suppliers, brokers, or government agencies.

7. Tariff Engineering Suggestions

Tariff Engineering Suggestions are ideas for your consideration only. Whether a product change is lawful, practical, safe, commercially sensible, or accepted by CBP is your decision and your responsibility. EZHTS does not guarantee that any suggestion will lower duties or be accepted by any authority, and EZHTS is not responsible for the design, materials, performance, safety, or compliance of your products.

8. Accounts and security

You are responsible for keeping your login credentials confidential and for all activity under your account and your company's account. Company administrators are responsible for the users they add and for removing access when it is no longer appropriate. Notify us promptly at support@ezhts.com if you believe your account has been compromised.

9. Free trial, plans, and billing

New accounts may receive a limited number of free classifications. Paid plans are billed monthly in advance through our payment processor and renew automatically until cancelled. Each completed classification counts toward your plan's limit, including repeat classifications of the same product. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable and unused classifications do not carry over. We may change prices or plan features with notice; changes apply from your next billing period. You are responsible for applicable taxes.

10. License to use the Service

Subject to this Agreement and payment of applicable fees, EZHTS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during your subscription. You may use and keep copies of your own Results for your internal records.

11. Restrictions

You agree not to: (a) copy, resell, sublicense, or provide the Service or its data to third parties as a competing or bureau service; (b) scrape, harvest, or bulk-download data or questions from the Service; (c) reverse engineer, decompile, or attempt to obtain the Service's source code, logic, or data sets; (d) share accounts or credentials outside the seats on your plan; (e) interfere with or disrupt the Service or its security; or (f) use the Service for any unlawful purpose, including to evade duties or make false statements to any government agency.

12. Ownership

The Service, including its software, question logic, databases, text, design, and trademarks, is owned by EZHTS and its licensors and is protected by intellectual property laws. Except for the license in Section 10, no rights are granted to you. If you send us feedback or suggestions, we may use them without obligation to you.

13. Your content

You keep ownership of the information, photos, and style numbers you submit (“Your Content”). You grant EZHTS a non-exclusive, worldwide, royalty-free license to host, process, and use Your Content to provide, support, and improve the Service. You may also allow us to use de-identified, aggregated data that does not identify you or your products. You represent that you have the right to submit Your Content.

14. Disclaimer of warranties

THE SERVICE, RESULTS, AND TARIFF ENGINEERING SUGGESTIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. EZHTS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA FROM GOVERNMENT OR THIRD-PARTY SOURCES IS ACCURATE OR CURRENT.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL EZHTS OR ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS (THE “EZHTS PARTIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, DATA, OR GOODWILL, OR FOR ANY DUTIES, TAXES, FEES, INTEREST, PENALTIES, OR GOVERNMENT ASSESSMENTS, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL LIABILITY OF THE EZHTS PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID EZHTS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITS ARE AN ESSENTIAL PART OF THE BARGAIN BETWEEN YOU AND EZHTS AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

The EZHTS Parties' owners, members, managers, officers, and employees have no personal liability to you for any claim arising out of or relating to this Agreement or the Service. You agree to bring any claim only against EZHTS as an entity.

16. Arbitration and class action waiver

Please read this section carefully. Any dispute, claim, or controversy arising out of or relating to this Agreement or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in New York County, New York (or by video conference if the arbitrator allows). Judgment on the award may be entered in any court with jurisdiction. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect its intellectual property.

YOU AND EZHTS EACH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

17. Indemnification

You agree to defend, indemnify, and hold harmless the EZHTS Parties from and against any claims, losses, liabilities, damages, judgments, penalties, duties, fees, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service or Results; (b) your imports, customs entries, declarations, products, or business decisions; (c) Your Content; (d) your breach of this Agreement; or (e) your violation of any law or the rights of any third party.

18. Third-party data and links

The Service uses and links to information from government agencies and other third parties, including the USITC and CBP. EZHTS does not control and is not responsible for that information or those websites, which may change or become unavailable at any time.

19. Suspension and termination

We may suspend or terminate your access to the Service at any time if you breach this Agreement, fail to pay, or use the Service in a way that could harm EZHTS or others. You may stop using the Service and cancel your plan at any time. Sections 4 through 7 and 11 through 22 survive termination.

20. Changes to the Service and this Agreement

We may change, add, or remove features of the Service at any time. We may update this Agreement from time to time by posting the new version on this page and updating the “Last updated” date. For material changes we will make reasonable efforts to notify you, for example by email or in the Service. Your continued use of the Service after an update takes effect means you accept the updated Agreement.

21. Governing law

This Agreement is governed by the laws of the State of New York and the Federal Arbitration Act, without regard to conflict-of-law rules. Subject to Section 16, the state and federal courts located in New York County, New York have exclusive jurisdiction, and you consent to their jurisdiction and venue.

22. General

This Agreement is the entire agreement between you and EZHTS about the Service and replaces any prior agreements on that subject. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our written consent; we may assign it in connection with a merger, acquisition, or sale of assets. EZHTS is not liable for delays or failures caused by events beyond its reasonable control, including changes in law or tariff policy, government actions, outages of third-party services, or natural disasters. Notices to you may be sent to the email on your account.
